PROMED LONGEVITY + PRIMARY CARE SERVICES ARE INTENDED FOR NON-EMERGENCY MEDICAL CONDITIONS AND CONCERNS. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, PLEASE DIAL 911 OR CONTACT YOUR LOCAL EMERGENCY SERVICES IMMEDIATELY.

BY ACCESSING OR USING THE SERVICES PROVIDED BY PROMED LONGEVITY + PRIMARY CARE THROUGH THE WEBSITE WWW.PROMEDPRIMARYCARE.COM, ASSOCIATED PLATFORMS, OR IN-PERSON AT ANY OF OUR CLINIC LOCATIONS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THESE TERMS OF SERVICE (“TERMS” OR “AGREEMENT”). IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SERVICES.

THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. BY ACCEPTING THESE TERMS, YOU WAIVE YOUR RIGHT TO A TRIAL BY JURY OR PARTICIPATION IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION UNLESS YOU OPT OUT IN ACCORDANCE WITH SECTION XXV OF THESE TERMS. PLEASE REVIEW THAT SECTION CAREFULLY.

I. Introduction

ProMED Longevity + Primary Care, operated by ProMED, LLC, and its affiliates and subsidiaries (collectively referred to as “ProMED,” “we,” “our,” or “us”) owns and operates the website www.promedprimarycare.com, associated scheduling platforms (including ZocDoc integration), patient portals, and other related services or platforms (collectively, the “Sites”). Together, these Sites and services—including in-person clinical care, telehealth consultations, customer support, pharmacy coordination, laboratory services, and other healthcare and wellness offerings—constitute the ProMED Longevity + Primary Care Services (“Service” or “Services”).

ProMED operates two clinic locations, both of which are governed by these Terms:

By accessing or using the ProMED Services at either location or through our website, you (“you,” “your,” or “patient”) agree to comply with these Terms, which constitute a legally enforceable agreement. These Terms govern your use of the Sites and Services and include important information about your rights and responsibilities. Please read this Agreement carefully before using our Services.

II. Acceptance of the Terms and Age Restriction

Your use of the ProMED Services is subject to this Agreement, applicable federal and state laws (including the laws of the State of Texas), and any additional policies referenced herein. By accessing, using, registering for, or scheduling any appointment through the Services, you agree to be bound by these Terms. If you do not agree with these Terms, you are prohibited from accessing or using the Services.

YOU MUST BE AT LEAST EIGHTEEN (18) YEARS OF AGE TO USE THE SERVICES, CREATE AN ACCOUNT, PROVIDE CONSENT TO RECEIVE TEXT MESSAGES, OR ENTER INTO THESE TERMS. By using the Services, you represent and warrant that you are at least 18 years old. If you are under 18, you may not use the Services unless a parent or legal guardian acts on your behalf and agrees to these Terms. Minors may receive clinical care only when accompanied by and with the consent of a parent or legal guardian, as permitted by applicable law.

We reserve the right to modify, update, or discontinue any part of these Terms or the Services at any time. Changes will be effective upon posting to the Sites. Your continued use of the Services after any changes constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must immediately stop using the Services.

III. Description of Services

ProMED Longevity + Primary Care is a comprehensive medical clinic with locations in Arlington, Texas, and Irving (Valley Ranch), Texas. Our board-certified providers deliver a full spectrum of healthcare services, including but not limited to the following:

A. Primary Care Services

Annual physical examinations, vital signs checks, comprehensive blood panels, immunizations, allergy testing, diabetes screening, cholesterol screening, thyroid function tests, lifestyle and wellness counseling, same-day sick visits, chronic disease management, and diagnostic screenings.

B. Wound Care

Advanced wound care evaluation, treatment, and ongoing management for acute and chronic wounds.

C. Longevity and Wellness Services

Hormone replacement therapy (HRT) and testosterone optimization (TRT), medical weight loss programs (including GLP-1 medications), peptide therapy, IV drip and nutrient therapy, NAD+ therapy, longevity medicine, and Young Plasma Therapy (yFFP®) and other regenerative medicine protocols.

D. Hyperbaric Oxygen Therapy (HBOT)

Hyperbaric oxygen therapy sessions provided in our clinic using our hyperbaric chamber equipment, administered under physician supervision.

E. Medical Aesthetics

Cosmetic injectable services, HydraFacial treatments, microneedling, chemical peels, hair removal, Morpheus8, Lumecca IPL, and massage therapy services.

F. Telehealth Services

Virtual telehealth consultations conducted via secure electronic communications, which may include real-time video calls, secure messaging, or asynchronous evaluations. You are responsible for ensuring that your devices meet the technical requirements for telehealth consultations. ProMED is not liable for service disruptions caused by technical issues on your end. Certain conditions or treatments may not be suitable for telehealth, and Providers reserve the right to recommend in-person evaluation.

IV. Provider Relationship and Independent Medical Judgment

ProMED employs and contracts with board-certified physicians and licensed healthcare professionals (“Providers”) who deliver clinical care to patients. All clinical decisions, including assessments, diagnoses, treatment plans, and prescriptions, are made by Providers exercising their independent medical judgment.

By using the Services, you acknowledge and agree that:

  1. ProMED coordinates and facilitates the delivery of healthcare services but clinical decisions rest solely with the treating Provider;
  2. No information provided through the Sites or Services constitutes a guarantee of any particular medical outcome;
  3. Longevity, regenerative, aesthetic, and wellness services may involve emerging therapies with varying levels of clinical evidence, and results are not guaranteed;
  4. You are responsible for providing accurate and complete medical history, including all medications, supplements, and pre-existing conditions.

V. Patient Responsibilities and Informed Consent

You agree to provide truthful, accurate, and complete information when registering for and using the Services. You are responsible for updating your medical history, contact information, insurance details, and any other relevant information in a timely manner.

Certain Services—including but not limited to Young Plasma Therapy, hyperbaric oxygen therapy, hormone replacement therapy, peptide therapy, injectable aesthetic procedures, and medical weight loss programs—may require separate written informed consent prior to treatment. By signing such consent forms, you acknowledge that you understand the nature, risks, benefits, and alternatives of the proposed treatment.

You acknowledge that medical treatments carry inherent risks, including but not limited to allergic reactions, infection, bruising, scarring, unsatisfactory results, and other complications. You agree that ProMED and its Providers have explained, or will explain, the material risks associated with any proposed treatment and that you have the opportunity to ask questions before consenting.

VI. Account Registration and Security

By creating an account with ProMED or scheduling an appointment through our Sites or third-party platforms (such as ZocDoc), you agree to provide accurate information and to maintain the confidentiality of your login credentials. You are solely responsible for all activity that occurs under your account.

You agree to notify ProMED immediately if you become aware of any unauthorized use of your account. ProMED is not liable for any loss or damage arising from unauthorized access to your account due to your failure to safeguard your credentials.

VII. Insurance, Payments, and Refunds

ProMED accepts most major PPO and HMO insurance plans, select government-issued coverage including Medicare, and self-pay patients at both our Arlington and Valley Ranch locations. You are responsible for verifying your insurance coverage and benefits before receiving Services. You are responsible for all fees associated with the Services, including consultation fees, diagnostic fees, procedure charges, pharmacy charges, and any applicable co-pays, co-insurance, or deductibles.

Elective and Cash-Pay Services: Certain longevity, regenerative, aesthetic, and wellness services may not be covered by insurance. These services are offered on a self-pay or cash-pay basis, and payment is due at the time of service unless other arrangements have been made.

Refund Policy: ProMED does not provide refunds for services rendered, prescription medications dispensed, or diagnostic kits opened and used, except as required by applicable law. If you believe you have been charged in error, please contact our billing department within thirty (30) days of the charge.

Subscription and Membership Programs: Certain Services may be offered on a subscription or membership basis. These programs automatically renew unless canceled in accordance with the specific cancellation terms provided at enrollment. You may cancel by contacting our office during business hours.

Returned Payments and Collections: In the event of a returned or declined payment, you will be responsible for any additional fees, including returned check fees and collection costs. ProMED reserves the right to refer unpaid balances to a third-party collections agency.

VIII. Pharmacy and Laboratory Services

ProMED may coordinate pharmacy and laboratory services through independent third-party providers for your convenience. While ProMED facilitates these services, independent third parties are solely responsible for the quality, accuracy, and reliability of their services.

Laboratory Tests: Certain laboratory tests may be required as part of your treatment. You acknowledge that laboratory results may include false positives, false negatives, or inconclusive outcomes, which could affect clinical decision-making.

Prescription Medications: Prescriptions, if issued, may be fulfilled by licensed partner pharmacies, compounding pharmacies, or your preferred pharmacy. By using the Services, you consent to the transfer of prescriptions between pharmacies as may be needed for coordination. Certain medications, including compounded products and GLP-1 medications, may be dispensed in non-childproof containers. You are responsible for proper storage, handling, and administration of all prescribed products, including self-injection medications.

IX. Assumption of Risk for Specialized Services

You acknowledge that certain Services offered by ProMED involve specialized medical procedures and therapies that carry unique risks. These include but are not limited to:

  • Young Plasma Therapy: Involves the infusion of plasma derived from young, screened donors. While all plasma units are tested and certified by U.S.-licensed blood banks, risks may include allergic reactions, transfusion reactions, infection, and other adverse events associated with blood product infusions.
  • Hyperbaric Oxygen Therapy: Risks may include ear or sinus barotrauma, temporary changes in vision, oxygen toxicity, and claustrophobia.
  • Hormone Replacement Therapy and Peptide Therapy: Risks may include hormonal imbalances, cardiovascular events, mood changes, injection site reactions, and other adverse effects.
  • IV Drip and Nutrient Therapy: Risks may include infiltration, phlebitis, allergic reactions, fluid overload, and infection.
  • Medical Aesthetic Procedures: Risks may include bruising, swelling, asymmetry, scarring, burns, infection, allergic reactions, and unsatisfactory cosmetic results.
  • Medical Weight Loss (GLP-1 Medications): Risks may include nausea, vomiting, diarrhea, constipation, pancreatitis, gallbladder issues, and other gastrointestinal side effects.

By consenting to any of the foregoing Services, you assume the inherent risks associated with such procedures, and you agree that ProMED and its Providers have made or will make reasonable efforts to explain these risks prior to treatment.

X. Privacy, HIPAA Compliance, and Communications

ProMED is committed to protecting your personal health information in accordance with the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and applicable Texas state privacy laws. Our Privacy Policy and Notice of Privacy Practices, available at www.promedprimarycare.com, outline how your information is collected, used, disclosed, and protected.

By registering for or using ProMED Services, you consent to receive electronic communications from us, including but not limited to appointment confirmations, reminders, treatment-related updates, billing notifications, and health-related information. Communications may be delivered via email, text message, phone call, or patient portal. You are responsible for safeguarding access to your email, phone, and devices.

You may opt out of non-essential marketing communications at any time by contacting our office or following the unsubscribe instructions provided in the communication.

XI. SMS/Text Messaging Program

ProMED Longevity + Primary Care offers an SMS (Short Message Service) and text messaging program to enhance communication with patients and prospective patients at both our Arlington and Valley Ranch locations. This section describes the SMS program, your consent, and your rights. By opting in to receive text messages from ProMED, you agree to the terms set forth in this section.

A. Description of the SMS Program and Messaging Use Cases

When you provide your mobile phone number and opt in to receive text messages from ProMED—whether through our website, intake forms, appointment scheduling platforms, in-person at either clinic location, or by texting a keyword to a ProMED phone number—you may receive text messages related to the following:

  • Appointment confirmations, reminders, and scheduling updates
  • Follow-up communications related to your care or visit
  • Prescription and medication notifications
  • Lab result availability notifications
  • Billing and payment reminders
  • Office closures, schedule changes, and operational notices
  • Health tips, wellness information, and educational content
  • Promotional messages about ProMED services, special offers, and events
  • Satisfaction surveys and feedback requests
  • Responses to inquiries you initiate via text

Message frequency varies based on your interactions with ProMED and the types of communications you have opted in to receive. Recurring messages may be sent.

B. Consent and Opt-In

By providing your mobile phone number and opting in (whether by checking a box on our website or intake form, texting a keyword such as “START” or “YES” to a ProMED phone number, or verbally providing consent in person or over the phone), you expressly consent to receive recurring automated text messages from ProMED Longevity + Primary Care, including messages sent using an automatic telephone dialing system, at the mobile number you provided. Your consent to receive text messages is not a condition of purchasing any goods or services from ProMED. You do not need to opt in to text messaging to receive medical care or any other services from ProMED.

C. Opt-Out Instructions

You may opt out of receiving text messages from ProMED at any time by replying STOP (or QUIT, CANCEL, END, or UNSUBSCRIBE) to any text message you receive from us. After opting out, you will receive a one-time confirmation message acknowledging your request. No further text messages will be sent to you unless you re-enroll in the program. You may also opt out by calling our Arlington office at (817) 438-6776, our Valley Ranch office at (972) 417-1936, or by emailing Arlington@promedprimarycare.com.

E. Message and Data Rates

Standard message and data rates may apply to text messages sent and received in connection with this program, depending on your mobile carrier and your mobile phone plan. ProMED is not responsible for any messaging or data charges imposed by your wireless carrier. Please contact your wireless carrier for details about your plan and any associated fees.

F. Carrier Liability Disclaimer

ProMED and mobile carriers (including but not limited to T-Mobile, AT&T, Verizon, and all other carriers) are not liable for delayed, undelivered, or misdirected text messages or any errors in the content of text messages. Delivery of text messages is subject to the effective transmission by your mobile carrier and the capabilities of your mobile device. ProMED makes no guarantee that text messages will be delivered to you in a timely manner or at all. Neither ProMED nor any mobile carrier shall be liable for any damages arising from or related to text messaging, including but not limited to direct, indirect, incidental, consequential, or punitive damages.

G. No Sharing of SMS Opt-In Data

ProMED does not sell, rent, lease, share, or otherwise disclose your SMS opt-in consent data or mobile phone number with any third party for the purpose of enabling third-party marketing or messaging to you. Your opt-in information is used solely by ProMED for the purposes described in this section. This prohibition extends to all affiliates and subsidiaries unless you separately and expressly consent to receive text messages from such entities.

H. Supported Carriers

Our SMS program is designed to work with most major U.S. mobile carriers. However, not all carriers support all types of messaging. ProMED is not responsible for messages that cannot be delivered due to carrier restrictions or limitations.

I. Changes to the SMS Program

ProMED reserves the right to modify or discontinue the SMS program at any time, with or without notice. We will make reasonable efforts to notify you of material changes to the program.

XII. Intellectual Property

All content on the ProMED Sites—including text, graphics, logos, images, software, photographs, and other materials—is the property of ProMED, LLC, or its licensors and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from the Sites without the prior written consent of ProMED.

The names “ProMED,” “ProMED Longevity + Primary Care,” the ProMED logo, and all related marks are trademarks of ProMED, LLC. Unauthorized use of these marks is strictly prohibited.

XIII. Prohibited Conduct

In connection with your use of the Services, you agree not to:

  1. Provide false, misleading, or incomplete information during registration or treatment;
  2. Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
  3. Attempt to gain unauthorized access to ProMED’s systems, networks, or other users’ accounts;
  4. Interfere with or disrupt the operation of the Sites or Services;
  5. Impersonate any person or entity or misrepresent your affiliation with any person or entity;
  6. Engage in abusive, harassing, threatening, or disruptive behavior toward ProMED staff, Providers, or other patients; or
  7. Resell, redistribute, or commercially exploit any aspect of the Services without written authorization.

XIV. Disclaimer of Warranties

THE SERVICES, INCLUDING ALL CONTENT, INFORMATION, AND MATERIALS PROVIDED THROUGH THE SITES, ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, PROMED DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

ProMED does not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components. Medical information provided through the Sites is for informational purposes only and does not substitute for professional medical advice, diagnosis, or treatment.

XV. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PROMED, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL PROMED’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE TOTAL AMOUNT YOU PAID TO PROMED FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE DATE THE CLAIM AROSE.

NOTHING IN THESE TERMS SHALL LIMIT LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

XVI. Indemnification

You agree to indemnify, defend, and hold harmless ProMED, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any information or materials you provide to ProMED that is inaccurate, misleading, or incomplete.

XVII. Third-Party Services and Links

The Services may contain links to third-party websites, platforms, or services (such as ZocDoc, laboratory providers, or pharmacy services) that are not owned or controlled by ProMED. ProMED is not responsible for the content, privacy practices, or availability of any third-party services. Your use of third-party services is at your own risk and subject to those third parties’ terms and policies.

XVIII. No Doctor-Patient Relationship Through the Website

Browsing the ProMED website, reading informational content, or submitting a contact form does not create a doctor-patient relationship. A doctor-patient relationship is established only when you are formally accepted as a patient and receive clinical care from a ProMED Provider.

XIX. Compliance with Laws

ProMED operates in compliance with all applicable federal, state, and local laws, including but not limited to HIPAA, the Texas Medical Practice Act, the Texas Occupations Code, the Federal Food, Drug, and Cosmetic Act, the Telephone Consumer Protection Act (TCPA), and applicable regulations governing telehealth, pharmacy, SMS messaging, and medical practice in the State of Texas.

You agree to comply with all applicable laws and regulations in connection with your use of the Services.

XX. Force Majeure

ProMED shall not be liable for any delay or failure to perform its obligations under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, power failures, internet or telecommunications outages, or other events of force majeure.

XXI. Governing Law

These Terms and any disputes arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles.

XXII. Termination

ProMED reserves the right to suspend or terminate your access to the Services at any time, with or without cause, including but not limited to violations of these Terms, abusive or threatening conduct, failure to pay for Services, or providing false information. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting our office. Termination does not relieve you of any outstanding payment obligations. ProMED will retain medical records in accordance with applicable Texas law and regulatory requirements.

XXIII. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

XXIV. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is available at www.promedprimarycare.com/privacy-policy. The Privacy Policy describes how we collect, use, disclose, and protect your personal information. By using the Services, you acknowledge and agree to the terms of the Privacy Policy, which is incorporated into these Terms by reference.

XXV. Arbitration and Dispute Resolution

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

All disputes, claims, or controversies arising out of or relating to these Terms or the Services (“Disputes”) shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, except as otherwise provided herein. The arbitration shall take place in Tarrant County, Texas.

By agreeing to these Terms, you waive your right to a trial by jury. You also waive your right to participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding.

Opt-Out Right: You may opt out of this arbitration provision within thirty (30) days of first accepting these Terms by sending a written notice to ProMED at 4201 Interway Place, Arlington, Texas 76018. Your notice must include your name, address, and a clear statement that you wish to opt out of arbitration. Opting out does not affect any other provision of these Terms.

Exceptions: Either party may bring an individual action in small claims court for Disputes within the court’s jurisdiction. Claims for injunctive or equitable relief related to intellectual property rights are not subject to arbitration.

XXVI. Entire Agreement

These Terms, together with the Privacy Policy, Notice of Privacy Practices, and any informed consent forms signed by you, constitute the entire agreement between you and ProMED with respect to the Services and supersede all prior or contemporaneous agreements, understandings, representations, and warranties, whether written or oral.

XXVII. Waiver

The failure of ProMED to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of ProMED.

XXVIII. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of ProMED. ProMED may assign its rights and obligations under these Terms without restriction.
